ACTIONGLOW 10K CHALLENGE

OFFICIAL TERMS & CONDITIONS

The ActionGlow 10K Challenge ("Promotion") is a promotional rebate program sponsored and administered by 45th Parallel Lighting, LLC ("ActionGlow," "Company," "we," "our," or "us").

By participating in the Promotion, participants agree to be bound by these Official Terms & Conditions.

1. ELIGIBILITY

The Promotion is open to individuals who are at least eighteen (18) years of age or have obtained the consent of a parent or legal guardian.

The Promotion is void where prohibited by law.

Employees, contractors, affiliates, representatives, and immediate family members of 45th Parallel Lighting, LLC may be excluded from participation at the sole discretion of the Company.

2. PROMOTION PERIOD

The Promotion begins on June 20, 2026, at 12:00 a.m. Eastern Time and shall continue until modified, suspended, or terminated by ActionGlow.

ActionGlow reserves the right to modify, suspend, or terminate the Promotion at any time and for any reason without prior notice.

3. ELIGIBLE PRODUCTS

Any authentic ActionGlow lighting system purchased directly from ActionGlow or through an authorized ActionGlow retailer or distributor is eligible for participation.

There is no minimum purchase date requirement.

Products purchased before the launch of the Promotion may qualify.

Proof of purchase may be required.

4. HOW TO PARTICIPATE

To qualify for consideration under the Promotion, participants must:

  1. Own an eligible ActionGlow lighting system.

  2. Install and use the ActionGlow product in the content.

  3. Create and publish original video content featuring the ActionGlow product.

  4. Publish the content on one of the following platforms:

    • Instagram Reels

    • TikTok

    • YouTube Shorts

  5. Tag @ActionGlow in the caption, description, or platform tagging feature where available.

  6. Maintain a public account during the qualification and verification process.

  7. Achieve at least ten thousand (10,000) likes on a single qualifying video.

  8. Submit proof of eligibility upon request.

Meeting these requirements does not automatically guarantee approval or issuance of a refund.

5. CONTENT PUBLICATION REQUIREMENT

To qualify, a video must be originally published on or after June 20, 2026.

Videos originally published prior to June 20, 2026, are not eligible regardless of engagement performance.

Reuploads, duplicate uploads, reposted content, or substantially similar content may be disqualified at ActionGlow's sole discretion.

ActionGlow reserves the right to verify publication dates and content authenticity.

6. ENGAGEMENT REQUIREMENT

A qualifying video must receive a minimum of ten thousand (10,000) likes on a single post.

Likes accumulated across multiple posts or platforms may not be combined.

The qualifying video must achieve 10,000 likes within three hundred sixty-five (365) days of its original publication date.

ActionGlow reserves the right to verify engagement metrics using any reasonable method.

7. CONTENT REQUIREMENTS

All submitted content must:

  • Be original and created by the participant.

  • Clearly and prominently feature an authentic ActionGlow product.

  • Comply with all applicable laws and regulations.

  • Comply with the terms and community guidelines of the applicable platform.

  • Remain publicly accessible throughout the verification process.

  • Not infringe upon the rights of any third party.

  • Not contain copyrighted material without authorization.

Content may not contain:

  • Illegal activity

  • Dangerous or reckless conduct

  • Trespassing

  • Property damage

  • Harassment

  • Hate speech

  • Defamatory statements

  • Sexually explicit material

  • Violent or graphic content

  • Any material deemed inappropriate by ActionGlow

ActionGlow reserves the right to determine whether submitted content satisfies these requirements.

8. PROHIBITED CONDUCT

The following activities are prohibited:

  • Purchased likes

  • Purchased followers

  • Purchased engagement

  • Click farms

  • Engagement pods

  • Automated accounts

  • Bots

  • Artificial traffic

  • Fraudulent activity

  • Manipulation of platform metrics

ActionGlow reserves the right to investigate any submission and may disqualify any participant suspected of violating these Terms.

9. REFUND AWARD

Participants whose submissions satisfy all Promotion requirements and successfully complete the verification process may qualify for a refund equal to the purchase price paid for one qualifying ActionGlow lighting system.

Refunds:

  • Apply only to one ActionGlow lighting system.

  • Exclude shipping charges.

  • Exclude taxes.

  • Exclude duties and fees.

  • Are limited to one (1) approved refund per customer per calendar year.

  • Are non-transferable.

  • May require additional verification before issuance.

Refunds are generally processed within thirty (30) days following approval.

10. CONTENT LICENSE

By participating in the Promotion, participants grant 45th Parallel Lighting, LLC a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to:

  • Use

  • Reproduce

  • Publish

  • Edit

  • Modify

  • Adapt

  • Display

  • Broadcast

  • Distribute

  • Advertise

  • Promote

the submitted content, in whole or in part, in any media now known or later developed.

Participant acknowledges that no compensation beyond any approved refund shall be owed for such use.

ActionGlow may use submitted content in advertisements, social media posts, websites, email campaigns, digital marketing, print materials, trade show displays, and other promotional materials.

ActionGlow may, but is not required to, provide creator attribution.

11. VERIFICATION

ActionGlow reserves the right to request any information necessary to verify eligibility, including but not limited to:

  • Proof of purchase

  • Government-issued identification

  • Social media account ownership

  • Platform analytics

  • Engagement metrics

  • Publication dates

Failure to provide requested information within a reasonable period may result in disqualification.

12. RESERVATION OF RIGHTS

45th Parallel Lighting, LLC reserves the right, in its sole and absolute discretion, to:

  • Determine participant eligibility.

  • Interpret these Terms.

  • Verify compliance.

  • Investigate suspected violations.

  • Reject any submission.

  • Deny any refund request.

  • Disqualify any participant.

  • Modify these Terms.

  • Suspend the Promotion.

  • Terminate the Promotion.

  • Correct administrative, technical, or clerical errors.

All decisions made by ActionGlow regarding the Promotion shall be final and binding.

Participation in the Promotion does not create any contractual right to a refund, award, or future participation.

13. RELEASE OF LIABILITY

By participating in the Promotion, participants release and hold harmless 45th Parallel Lighting, LLC and its owners, officers, directors, members, employees, agents, affiliates, successors, and assigns from any claims, damages, liabilities, losses, injuries, costs, or expenses arising from participation in the Promotion.

Participants acknowledge that ActionGlow does not encourage unsafe riding, reckless conduct, or violation of any law.

Participants assume all risks associated with their activities.

14. LIMITATION OF LIABILITY

ActionGlow shall not be responsible for:

  • Platform outages

  • Algorithm changes

  • Technical failures

  • Delayed submissions

  • Lost submissions

  • Inaccurate platform data

  • Third-party actions

  • Events beyond the Company's reasonable control

15. GOVERNING LAW

These Terms shall be governed by the laws of the State of Michigan, without regard to conflict of law principles.

Any dispute arising out of or relating to the Promotion shall be resolved exclusively in the state or federal courts located in Michigan.
